Overview

What is ROC Annual Filing?

Every company and LLP registered with the Ministry of Corporate Affairs must file annual returns and financial statements with the Registrar of Companies, regardless of turnover or whether it carried on business during the year.

Companies file financial statements in Form AOC-4 and the annual return in Form MGT-7 or MGT-7A, while LLPs file Form 8 (statement of accounts and solvency) and Form 11 (annual return). Late filing attracts additional fees for each day of delay, and prolonged non-compliance can lead to director disqualification and the company being struck off.
