Every company and LLP registered with the Ministry of Corporate Affairs must file annual returns and financial statements with the Registrar of Companies, regardless of turnover or whether it carried on business during the year.
Companies file financial statements in Form AOC-4 and the annual return in Form MGT-7 or MGT-7A, while LLPs file Form 8 (statement of accounts and solvency) and Form 11 (annual return). For companies, AOC-4 is generally due within 30 days of the AGM and MGT-7 / MGT-7A within 60 days of the AGM. For LLPs, Form 11 is due by 30 May and Form 8 by 30 October each year, subject to any extensions notified.
